Terms of Service

1. Acceptance of Terms

By downloading, installing, accessing, or using the Midnight mobile application ("App"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to these Terms, you may not use the App. These Terms constitute a legally binding agreement between you and the developer of Midnight.

2. Eligibility

You must meet the following requirements to use Midnight:

• • You are at least 18 years of age or the age of majority in your jurisdiction
• • You have the legal capacity to enter into a binding contract
• • You are not prohibited from using the App under applicable laws
• • You have an iOS device running iOS 26.2 or later

3. Account Registration

To use certain features of the App, you must create an account:

• • You may sign in using Sign in with Apple or create an anonymous account via Supabase
• • You are responsible for maintaining the confidentiality of your account credentials
• • You agree to provide accurate and complete information during registration
• • You are responsible for all activities that occur under your account
• • You must notify us immediately of any unauthorized access to your account

4. Subscription Terms

4.1 Free and Premium Versions

Midnight offers both free and premium subscription tiers. The free version provides access to basic features, while premium subscriptions unlock additional content and functionality.

4.2 Billing and Payment

• • All payments are processed through Apple's In-App Purchase system
• • We do not collect or store your payment information
• • Subscription fees are charged to your Apple ID account at confirmation of purchase
• • Prices are displayed in your local currency and may include applicable taxes

4.3 Auto-Renewal

• • Subscriptions automatically renew unless cancelled at least 24 hours before the renewal date
• • Your account will be charged for renewal within 24 hours prior to the end of the current period
• • You can manage or turn off auto-renewal in your Apple ID Account Settings after purchase

4.4 Cancellation

You may cancel your subscription at any time through your Apple ID settings:

3. 3. Tap "Subscriptions"
4. 4. Select "Midnight"
5. 5. Tap "Cancel Subscription"

Upon cancellation, you will continue to have access to premium features until the end of your current billing period.

4.5 Refunds

All refunds are subject to Apple's App Store refund policy. We do not process refunds directly. To request a refund, please contact Apple Support.

5. User Responsibilities

By using Midnight, you agree to:

• • Use the App only for lawful purposes and in accordance with these Terms
• • Respect the rights and privacy of other users, including your partner
• • Not use the App to harass, abuse, or harm others
• • Not attempt to gain unauthorized access to the App or its systems
• • Not reverse engineer, decompile, or disassemble the App
• • Not distribute, license, transfer, or sell the App or any portion thereof
• • Not use the App for any commercial purpose without our prior written consent

6. Content and Conduct

When using Midnight, you agree not to create, share, or store content that:

• • Is illegal, harmful, threatening, abusive, harassing, defamatory, or obscene
• • Infringes upon any third-party's intellectual property rights
• • Contains viruses, malware, or other harmful code
• • Violates the privacy rights of any person
• • Constitutes unauthorized advertising or spam
• • Promotes illegal activities or violence

We reserve the right to remove any content that violates these rules and to terminate accounts of users who repeatedly violate our content policies.

7. Intellectual Property

All intellectual property rights in the App, including but not limited to software, designs, graphics, text, and logos, are owned by us or our licensors. These Terms do not grant you any rights to use our trademarks, logos, or other brand elements.

You retain ownership of any content you create within the App. However, by using the App, you grant us a limited license to store and process your content solely for the purpose of providing our services to you.

8. Disclaimer of Warranties

THE APP IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE APP WILL BE UNINTERRUPTED, SECURE, OR ERROR-FREE.

9. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, OR USE, ARISING OUT OF OR IN CONNECTION WITH THESE TERMS OR YOUR USE OF THE APP, REGARDLESS OF WHETHER WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

10. Indemnification

You agree to indemnify, defend, and hold harmless the developer of Midnight and its affiliates, officers, directors, employees, and agents from and against any and all claims, damages, losses, liabilities, costs, and expenses arising out of or relating to your use of the App or violation of these Terms.

11. Termination

We reserve the right to suspend or terminate your access to the App at any time, with or without cause, and with or without notice. Upon termination:

• • Your right to use the App will immediately cease
• • Any provisions of these Terms that by their nature should survive termination shall survive
• • We may delete your account data in accordance with our Privacy Policy

You may also delete your account at any time within the App settings.

12. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of France, without regard to its conflict of law provisions.

Any dispute arising out of or relating to these Terms or your use of the App shall be subject to the exclusive jurisdiction of the courts of Paris, France.

If you are a consumer resident in the European Union, you may also have recourse to the European Online Dispute Resolution platform at ec.europa.eu/consumers/odr.

13. Changes to These Terms

We may modify these Terms at any time. We will notify you of material changes by posting the updated Terms within the App or by other means. Your continued use of the App after such changes constitutes your acceptance of the new Terms. The "Effective Date" at the top of this page indicates when these Terms were last updated.

14. Severability

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary so that these Terms shall otherwise remain in full force and effect.

15. Entire Agreement

These Terms, together with our Privacy Policy, constitute the entire agreement between you and us regarding the use of the App and supersede any prior agreements or understandings.
